Terms of Service

Welcome to Strukd Inc., a Delaware corporation. These Terms of Service (”Terms”) govern your access to and use of our services, including our application programming interface (”API”), software, and related content (together, the ”Services”). By using our Services, you agree to these Terms. If you do not agree, you may not access or use the Services.

1. Use of Our API

Eligibility: You must have the legal capacity to enter into these Terms. By accessing or using the API, you represent that you meet these requirements.

API Access: We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the API solely to develop, test, and integrate applications with our Services.

Compliance: You agree to comply with all applicable laws, regulations, and these Terms. You are solely responsible for ensuring your applications comply with these requirements.

Prohibited Uses: You may not use our API in any way that (a) violates these Terms; (b) infringes intellectual property rights; (c) violates privacy rights; (d) is fraudulent, deceptive, or misleading; (e) is harmful or interferes with the operation of the API; or (f) attempts unauthorized access to our systems.

Developer Code of Conduct: The end user and their data rights always come first. Developers agree not to mislead end users, to avoid conflicts of interest, and not to cause reputational harm to Strukd.

2. Data Collection and Privacy

By using our API, you acknowledge that we may process personal identifiable information (”PII”) as described in our Privacy Policy. You agree to use any PII obtained solely for authorized purposes and in compliance with all applicable laws, including data protection laws. You are responsible for implementing appropriate security measures to protect any PII accessed via our API.

3. Intellectual Property

We retain all rights, title, and interest in and to the API and related intellectual property. These Terms do not grant you ownership of the API or related materials.

If you provide feedback or suggestions, you grant Strukd a perpetual, royalty-free license to use and incorporate it into our Services.

4. Termination

By Us: We may suspend or terminate your access to the Services at any time, with or without cause or notice.

By You: You may stop using our API at any time by discontinuing your access and ceasing all use of the Services.

5. Fees and Payment

Access to certain features may require payment. Fees are billed to your authorized payment method, such as credit card or other methods accepted by us. By providing payment information, you authorize us to charge your account for all applicable fees.

You may cancel at any time by contacting us at info@strukd.com. Cancelled accounts immediately lose access to paid features.

6. Limitation of Liability

To the fullest extent permitted by law, the Services are provided ”as is” without warranties of any kind. Strukd is not liable for indirect, incidental, or consequential damages, including lost profits or data, resulting from your use of or inability to use the Services.

7. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles.

8. Changes

We may update these Terms by posting revised Terms on our website. Continued use of the Services constitutes acceptance of the updated Terms.

9. Entire Agreement

These Terms constitute the entire agreement between you and Strukd regarding use of the Services and supersede prior agreements.
